Welcome to Suka. These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", or "your") and Suka ("we", "us", "our", or the "Platform"). Suka is a mobile application built around authentic, real-person live streaming that connects content creators and audiences through live video broadcasts, interactive engagement tools, and virtual gifting.
IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING SUKA. By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, along with our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Platform and delete any installed copies of the App.
These Terms govern your access to and use of all Suka services, including but not limited to the mobile application, web-based interfaces, APIs, live streaming features, messaging capabilities, virtual economy features, and any content made available through the Platform (collectively, the "Services"). By using the Services, you enter into a binding agreement with us.
In addition to these Terms, your use of the Services is also governed by our Privacy Policy, Community Guidelines, Creator Program Terms, and any other supplementary policies or guidelines posted on the Platform (collectively, the "Policies"). In the event of a conflict between these Terms and any supplementary policy, these Terms shall prevail unless the supplementary policy expressly states otherwise.
We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. When we make material changes, we will provide notice through the App via an in-app notification, banner, or other prominent mechanism, and update the "Effective Date" above. Your continued use of the Services after such changes take effect constitutes your acceptance of the revised Terms. If you disagree with any modification, your sole remedy is to discontinue using the Services.
You must be at least 18 years of age to register for, access, or use Suka. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement. We implement age verification measures during registration and may request additional verification at any time. Users found to be under 18 will have their accounts immediately terminated and all associated data deleted.
You represent that you have the full legal authority and capacity to agree to and be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Suka is intended for a global audience; however, certain features may not be available in all jurisdictions. You are responsible for ensuring that your use of the Services complies with the laws and regulations of your jurisdiction. We reserve the right to restrict or terminate access for users in jurisdictions where we determine the Services cannot be offered lawfully.
To access most features of Suka, you must create a personal account by providing accurate, current, and complete registration information, including a valid email address or phone number, a display name, date of birth, and a profile photograph. You may also register through supported third-party authentication providers (e.g., Apple, Google, or Facebook).
You agree to provide truthful information during registration and to keep your account information up to date at all times. You shall not impersonate any other person, create accounts using false identities, or register multiple accounts without our prior written approval. Suka reserves the right to verify the information you provide and to suspend or terminate accounts that contain materially inaccurate or misleading information.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to immediately notify us at service@suka.blog if you become aware of any unauthorized use of your account or any other security breach. Suka shall not be liable for any loss or damage arising from your failure to protect your account credentials.
Your Suka account is personal to you and may not be sold, transferred, assigned, or shared with any third party. Any attempt to transfer or assign your account without our written consent constitutes a material breach of these Terms and may result in immediate account termination.
You agree to use Suka in a responsible and lawful manner. The following activities are strictly prohibited and may result in content removal, account suspension, permanent banning, and/or referral to law enforcement:
If you broadcast live content on Suka (as a "Streamer" or "Creator"), you are solely responsible for the content of your streams. You must ensure that your live broadcasts comply with all applicable laws, these Terms, our Community Guidelines, and any applicable platform policies. You represent and warrant that you have all necessary rights, licenses, and permissions for any content you display, perform, or broadcast during your streams.
The following types of content are strictly prohibited during live streams:
Suka employs a combination of automated monitoring systems and human moderators to review live stream content in real time. We reserve the right to interrupt, pause, or terminate any live stream that we determine, in our sole discretion, to be in violation of these Terms or our Community Guidelines. Repeated violations will result in escalating enforcement actions, up to and including permanent account termination.
We may record, archive, and retain live stream sessions for content moderation, safety review, dispute resolution, legal compliance, and quality assurance purposes. By streaming on Suka, you consent to such recording. Archived streams may be retained for a period determined by our data retention policies and applicable law.
You retain ownership of the original content you create and publish on Suka, including live streams, photos, videos, text, and other materials (collectively, "Your Content"). However, by publishing content on the Platform, you grant us certain rights as described below.
By uploading, posting, streaming, or otherwise making Your Content available through the Services, you grant Suka a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display Your Content in any media format and through any media channel, in connection with operating, promoting, and improving the Services. This license continues for a commercially reasonable period after you remove Your Content, to accommodate caching, backup systems, and distribution already in progress.
By submitting Your Content, you represent and warrant that: (a) you are the creator and owner of the content, or have obtained all necessary authorizations and licenses from the rightful owner; (b) Your Content does not infringe upon any third party's intellectual property rights, privacy rights, publicity rights, or any other legal rights; (c) Your Content does not contain false, misleading, defamatory, or deceptive information; and (d) Your Content complies with all applicable laws, regulations, and these Terms.
We reserve the right to remove, restrict, de-prioritize, or modify any content at our sole discretion, without prior notice, if we determine that such content violates these Terms, our Community Guidelines, or applicable law, or if it poses a risk to the safety or integrity of the Platform. We are not obligated to review all content before it is published, and the absence of removal does not constitute endorsement or approval of any content.
Any feedback, suggestions, ideas, or improvements you voluntarily provide to Suka regarding the Services become our sole property. We may use, implement, and commercialize such feedback without restriction, attribution, or compensation to you.
All rights, title, and interest in and to the Suka platform, including the App, website, software, algorithms, user interface designs, graphics, logos, trademarks, service marks, trade names, and all related intellectual property (collectively, "Suka IP"), are and shall remain the exclusive property of Suka and its licensors. These Terms do not grant you any right, license, or interest in Suka IP except for the limited right to use the Services in accordance with these Terms.
Subject to your compliance with these Terms, Suka grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a compatible mobile device solely for your personal, non-commercial use. This license does not include the right to modify, distribute, sell, lease, or create derivative works based on the App.
Suka respects the intellectual property rights of third parties and complies with the Digital Millennium Copyright Act (DMCA) and other applicable copyright laws. If you believe that your copyrighted work has been reproduced on Suka without authorization, you may submit a copyright infringement notification to our designated agent at service@suka.blog. Your notification must include: (a) a description of the copyrighted work claimed to have been infringed; (b) identification of the material on the Platform that is allegedly infringing; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
Suka maintains a policy of terminating, in appropriate circumstances, the accounts of users who are determined to be repeat copyright infringers. We track and evaluate reports of infringement and may permanently disable accounts with multiple valid copyright strikes.
Suka may offer virtual currency ("Coins", "Diamonds", or similar units) that can be purchased with real money through in-app purchase mechanisms provided by Apple App Store, Google Play Store, or other authorized payment channels. Virtual currency is a limited, non-transferable, non-refundable digital license with no cash value, no monetary equivalent, and no value outside the Suka platform.
Users may use virtual currency to send virtual gifts to Creators during live streams and through other interactive features. Virtual gifts are expressive, non-refundable digital items. Once a gift is sent, the transaction is final. Suka bears no responsibility for gifts sent to the wrong recipient or gifts sent as a result of unauthorized account access.
Creators who receive virtual gifts may be eligible to convert a portion of those gifts into real-world earnings through our Creator Monetization Program, subject to the program's terms and conditions, minimum payout thresholds, applicable fees, and tax obligations. Suka retains the right to adjust commission rates, payout schedules, and program terms at any time with reasonable advance notice. Creators are solely responsible for complying with all tax laws and reporting requirements in their jurisdiction.
All purchases of virtual currency and virtual items are final and non-refundable, except as required by applicable law or the policies of the app store through which the purchase was made. If you believe a purchase was made without your authorization, please contact us immediately at service@suka.blog. Refund requests for app store purchases should be directed to the respective app store's support channel.
Virtual currency and virtual items have no expiration date while your account remains active and in good standing. However, upon termination or suspension of your account for any reason, all unused virtual currency and virtual items are immediately forfeited and cannot be recovered, refunded, or transferred.
To participate in Suka's Creator Program, you must meet the eligibility requirements specified by us, which may include minimum age thresholds, identity verification completion, adherence to Community Guidelines, and maintenance of a minimum level of platform engagement. Suka reserves the right to approve or deny Creator Program applications at its sole discretion.
Qualified Creators earn a share of the revenue generated from virtual gifts they receive, subject to the commission structure and payout terms established by Suka. Payouts are processed on a regular schedule (e.g., monthly) through supported payment methods, provided the Creator has met the minimum payout threshold. Suka reserves the right to withhold payouts pending investigation of suspected fraud, policy violations, or other irregularities.
Creators are classified as independent contractors, not employees, agents, or partners of Suka. You are solely responsible for all applicable taxes, including income tax, value-added tax (VAT), goods and services tax (GST), and any other levies applicable to your Creator earnings. Suka may collect tax-related documentation (such as W-9 or W-8BEN forms for U.S. tax purposes) and may be required to report payments to tax authorities.
Suka serves as a platform that facilitates connections between users but does not control, endorse, or guarantee the behavior, statements, or content of any individual user. You acknowledge that you interact with other users at your own risk and that Suka is not a party to any disputes, transactions, or arrangements that arise between users.
We strongly encourage all users to exercise caution and good judgment when interacting with others on Suka. Do not share sensitive personal information (such as your home address, financial details, or government identification numbers) with other users. If you encounter behavior that is threatening, abusive, or otherwise concerning, please use the in-app reporting tools to alert our safety team.
While Suka implements identity verification features, we cannot guarantee the true identity, age, background, intentions, or credibility of any user. You are solely responsible for making your own assessment of the trustworthiness and reliability of any person you interact with through the Platform.
If you encounter content or behavior that you believe violates these Terms, our Community Guidelines, or applicable law, we encourage you to report it immediately using the in-app reporting tools or by contacting us at service@suka.blog. All reports are treated confidentially, and the identity of reporters is not disclosed to the reported party except as required by law.
Suka may take a range of enforcement actions in response to violations, including but not limited to:
We determine the appropriate enforcement action based on the severity of the violation, the user's history, and other relevant factors. We reserve the right to act without prior warning in cases involving serious or imminent harm.
If your account has been suspended or terminated, or if your content has been removed, you may submit an appeal by contacting us at service@suka.blog within 30 calendar days of the enforcement action. Appeals are reviewed by a designated team, and you will be notified of the outcome. Suka's decision on any appeal is final and binding.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUKA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND QUIET ENJOYMENT.
Without limiting the foregoing, Suka does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Services will be accurate, reliable, or complete; (c) any defects or errors in the Services will be corrected; or (d) the Platform will be free of viruses, malware, or other harmful components.
You acknowledge that Suka has no obligation to vet, verify, or endorse any content posted by users, and that any reliance on such content is at your sole risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUKA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including but not limited to damages for loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses, arising out of or in connection with your use of or inability to use the Services, even if Suka has been advised of the possibility of such damages.
TO THE EXTENT PERMITTED BY LAW, SUKA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SUKA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless Suka, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) Your Content or any content you submit, post, or transmit through the Platform; (c) your violation of these Terms, any applicable law, or the rights of any third party; (d) your interactions with other users; or (e) any negligent or intentional misconduct on your part.
Suka reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising from or relating to these Terms or the Services informally by contacting us at service@suka.blog. We will attempt to resolve the matter through good-faith negotiation within 60 calendar days from the date of your initial contact.
If a dispute cannot be resolved informally, you and Suka agree that any unresolved dispute shall be submitted to final and binding individual arbitration, except as otherwise provided herein. Arbitration shall be conducted by a recognized arbitration body in accordance with its then-current rules. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SUKA EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. All claims and disputes shall be resolved on an individual basis and not as part of any consolidated or class proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations. Additionally, claims within the jurisdiction of small claims courts may be brought in such courts.
These Terms and any disputes arising from or relating to them or the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Suka is incorporated, without giving effect to any principles of conflicts of law. Nothing in these Terms shall deprive you of the protection of mandatory consumer protection laws of your country of residence where applicable.
You may terminate your account at any time by using the account deletion feature within the App settings or by contacting us at service@suka.blog. Upon account deletion, your profile, content, and associated data will be processed in accordance with our Privacy Policy.
We reserve the right to suspend or terminate your account, restrict your access to the Services, and/or delete your content at any time, with or without notice, for any reason, including but not limited to: (a) violation of these Terms or our Community Guidelines; (b) suspected fraudulent, abusive, or illegal activity; (c) prolonged inactivity; (d) failure to comply with age verification requirements; or (e) at our sole discretion for any legitimate operational or business reason.
Upon termination of your account, whether initiated by you or by Suka: (a) your license to use the Services immediately terminates; (b) all virtual currency, virtual gifts, and other virtual items in your account are permanently forfeited with no refund or compensation; (c) any pending Creator earnings may be withheld if the termination is due to a violation of these Terms; (d) provisions that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.
Your privacy is important to us. Our collection, use, storage, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy. We encourage you to review the Privacy Policy carefully and periodically to stay informed about how we handle your data.
The Services may contain links to, or integrations with, third-party websites, applications, or services that are not owned or controlled by Suka. We do not endorse, monitor, or assume responsibility for the content, privacy practices, or terms of service of any third-party platforms. Your interaction with third-party services is governed by their respective terms and policies, and you access them at your own risk.
Suka may integrate third-party payment processors (such as Stripe, PayPal, or similar services) to facilitate transactions. Your use of these payment services is subject to their terms and privacy policies, and Suka is not liable for any acts or omissions of third-party payment providers.
Suka shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, epidemics or pandemics, acts of war or terrorism, government orders or regulations, power outages, internet or telecommunications failures, cyberattacks, labor disputes, or disruptions in supply chains. During such events, our obligations shall be suspended for the duration of the force majeure event.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from the remaining provisions, which shall continue in full force and effect.
The failure of Suka to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of Suka.
These Terms, together with the Privacy Policy, Community Guidelines, and any other Policies referenced herein, constitute the entire agreement between you and Suka regarding the use of the Services and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether oral or written, with respect to the subject matter hereof.
You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Suka. Suka may assign or transfer these Terms, in whole or in part, to any affiliate or successor entity, or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without notice to or consent from you. Any purported assignment in violation of this section shall be null and void.
By using Suka, you consent to receive electronic communications from us, including emails, in-app notifications, push notifications, and messages within the Platform. You agree that any notices, agreements, disclosures, or other communications delivered electronically satisfy any legal requirement that such communications be in writing. Notices to Suka must be sent to service@suka.blog and shall be deemed received on the business day following transmission.
Suka is committed to making the Platform accessible to all users, including those with disabilities. We continuously work to improve the accessibility of our Services in accordance with applicable accessibility standards and guidelines. If you encounter any accessibility barriers while using Suka, please contact us at service@suka.blog and we will make reasonable efforts to address your concerns.
You agree to comply with all applicable export control laws, trade sanctions, and embargo regulations when using the Services. You represent that you are not located in, or a resident or national of, any country subject to comprehensive trade sanctions by the United States, European Union, or United Nations, and that you are not listed on any government-maintained list of prohibited or restricted parties.
The following sections shall survive the termination or expiration of these Terms: Intellectual Property Rights (Section 7), Virtual Currency and Gifts (Section 8 with respect to forfeiture), Disclaimers (Section 12), Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution (Section 15), Governing Law (Section 16), Effects of Termination (Section 17.3), and any other provisions that by their nature are intended to survive.
